In its latest guidelines, the Triveneto Committee of Notaries clarifies that abstentions are treated as votes against a resolution at both the general meeting of a joint-stock company (S.p.A.) and the shareholders’ meeting of a limited liability company (S.r.l.).

Consequently, abstaining shareholders are regarded as shareholders who have not voted in favour and are taken into account when determining whether the required majority for the adoption of a resolution has been achieved.
