{"id":3001,"date":"2025-01-20T22:27:10","date_gmt":"2025-01-20T21:27:10","guid":{"rendered":"https:\/\/www.hessepartner.it\/?p=3001"},"modified":"2025-01-20T22:27:17","modified_gmt":"2025-01-20T21:27:17","slug":"company-incorporation-of-a-limited-company-in-italy-srl","status":"publish","type":"post","link":"https:\/\/www.hessepartner.it\/en\/company-incorporation-of-a-limited-company-in-italy-srl\/","title":{"rendered":"Company Incorporation of a Limited Company in Italy (srl)"},"content":{"rendered":"<p class=\"font_8 wixui-rich-text__text\"><span class=\"wixui-rich-text__text\">The limited liability company in Italy is a kind of company that allows small social enterprises to benefit from limited liability. <\/span><span class=\"wixui-rich-text__text\">The srl, like the spa, acquires the legal personality with the registration in the Company Register held at the Chmaber of Commerce.<\/span><span class=\"wixui-rich-text__text\">The srl can be set up with an agreement between the quota holders or by a unilateral deed for single-member companies (srl Unipersonale).<\/span><\/p>\n<p class=\"font_8 wixui-rich-text__text\"><span class=\"wixui-rich-text__text\">The capital of the srl may be less than \u20ac 10.000 and not less than \u20ac 1, with contributions only in cash; in this case the srl must set aside a sum to be deducted from the net profits resulting from the financial statements equal to at least 1\/5 of the same, this obligation remains until the reserve and the capital have not reached the amount of \u20ac 10.000.<\/span><\/p>\n<p class=\"font_8 wixui-rich-text__text\"><span class=\"wixui-rich-text__text\">The incorporation of the srl company takes places in two phases, namely:<\/span><\/p>\n<p class=\"font_8 wixui-rich-text__text\"><span class=\"wixui-rich-text__text\">1) the stipulation of the deed of incorporation (atto costitutivo) &#8211; contract or unilateral act &#8211; and<\/span><\/p>\n<p class=\"font_8 wixui-rich-text__text\"><span class=\"wixui-rich-text__text\">2) the company&#8217;s registration in the Company Register.<\/span><\/p>\n","protected":false},"excerpt":{"rendered":"<p>The limited liability company in Italy is a kind of company that allows small social enterprises to benefit from limited liability.
